Proof of subject qualification or proof of identification as a natural person for investors;
The Proofs above should be certified by a notary public, and authenticated by the Chinese embassy or consulate of the country of investors. The Proofs above of Hong Kong-, Macao- or Taiwan-Investors should be certified by their native legal notary public;
Photocopies of documents of appointment and proof of identification for directors, supervisors and managers
8、由投資各方委派的董事或聯(lián)合管理委員會委員、監(jiān)事和經(jīng)理的名單、任職文件及身份證明復(fù)印件
The name list and photocopies of documents of appointment and proof of identification for directors or the members of management committee , supervisors and managers by each copartner of contract ;
9、《名稱預(yù)先核準(zhǔn)通知書》;
“The notification of name pre-approval”(Original copy);
10、房產(chǎn)證復(fù)印件和租賃協(xié)議原件(須經(jīng)公證并報轄區(qū)房地產(chǎn)交易中心備案);
Original lease of foreign company residence and the duplicates certificate of real estate (should be certificate by notary public and keep on record in certain real estate management center);
11、如為特種行業(yè)則需要提供前置審批部門的許可證書或批復(fù)(原件);
Pre-approval document or certificate. For some special industry which laws or regulations claim that must be Pre-approved by the approval authority (Original copy).
12、主管外經(jīng)委要求提供的其他有關(guān)證件、證明、資料。
The Commission in charge requests the other relevant certificates , proofs ,documentations;
備注：以上未注明提交原件的，可提交復(fù)印件;提交復(fù)印件的，應(yīng)當(dāng)注明“與原件一致”并由投資人加蓋公章或簽字; 以上各種文件文字為外文的，須由有合法翻譯資格的單位出具的中文翻譯件。

二、注冊中外合作經(jīng)營企業(yè)辦理工商流程： (Shanghai Administration of Industry and Commerce)
辦理時限：10個工作日 (Procedure: 10 working days)
申請工商注冊應(yīng)當(dāng)提交下列文件(Documents for registration of establishment of a Foreign-Invested company)
1、擬任法定代表人簽署的《設(shè)立外商投資企業(yè)的申請書》(需原件并附法人代表2寸彩色證件照片1張);
“The Establishment Registration Application Form for Foreign Invested Enterprises” by the legal representative to be appointed (should offer original copy and one sheet of 2 inches passport photo of the legal representative);
2、外經(jīng)委的批準(zhǔn)文件(經(jīng)營范圍涉及前置審批的需提供相關(guān)審批部門的許可證書副本和批復(fù)件原件) ;
The approval document issued by Shanghai Foreign Economic relation & trade Commission; Pre-approval document or certificate for some special industry which laws or regulations claim that must be Pre-approved by the approval authority (one duplicate of official reply and approval certificate);
3、合營合同、公司章程以及審批部門關(guān)于合同、章程的批復(fù)(原件);
Contract of joint venture, Articles of association and the reply of verify & approval authority on Contract of joint venture and Articles of Association (original copy);
4、可行性報告;

The letter is made by authorizer (a Foreign-Investor) and authorized Person (a recipient whom receives all legal registration documents service within borders of China)
12、主管工商部門要求提供的其他有關(guān)證件、證明、資料。

辦理時限：1個工作日 (Procedure: 1 working day)
申請組織機構(gòu)統(tǒng)一代碼證應(yīng)當(dāng)提交下列文件(Documents for application the unified organizational code):
1、企業(yè)提交營業(yè)執(zhí)照原件和復(fù)印件,其中外資企業(yè)還應(yīng)攜帶外商投資企業(yè)或臺港澳投資企業(yè)批準(zhǔn)證書的原件和復(fù)印件，法人代表的身份證(或護照)復(fù)印件。

四、注冊中外合作經(jīng)營企業(yè)辦理稅務(wù)的流程： Taxation
辦理時限：7個工作日 (Procedure: 7 working days)
申請應(yīng)當(dāng)提交下列文件(Documents for registration of establishment of a Foreign-Invested company：)
1、營業(yè)執(zhí)照或者其他核準(zhǔn)執(zhí)業(yè)證件的原件及復(fù)印件 Original and counterpart business licenses or other similar permit of business operation;
2、組織機構(gòu)統(tǒng)一代碼證原件和復(fù)印件 An original and duplicate unified organizational code;
3、法定代表人身份證、護照或者其他證明身份的合法證件 The ID card, passport or other valid ID certificate of the legal representative, or responsible member of owner.
4、注冊地址、生產(chǎn)經(jīng)營地址的房地產(chǎn)所有權(quán)或使用權(quán)證書或租賃證明 Registration address, business produce address duplicate certificate of company domicile or original lease of your company residence and the duplicates certificate of title of the owner;
5、有關(guān)合同、章程及協(xié)議書復(fù)印件 A duplicate contract, agreement and articles of association;
6、依法設(shè)立的驗資機構(gòu)出具的驗資報告(原件和復(fù)印件)Investment verification report issued by a legally established investment verification authority (original or duplicate report);
7、主管部門批準(zhǔn)設(shè)立證書原件及復(fù)印件 Original and duplicate of Department in charge of industry and commerce reply and approval certificate;
8、銀行帳號證明 Certificate of opening a bank account;
9、如屬分支機構(gòu)，應(yīng)提供總機構(gòu)的營業(yè)執(zhí)照和稅務(wù)登記證件 A branch should offer the business license and tax registration certificate of headquarters;
10、中方投資者的稅務(wù)登記證件 The tax registration certificate of Chinese investors;
11、主管稅務(wù)機關(guān)要求提供的其他有關(guān)證件、證明、資料 The administration in charge requests the other relevant certificates , proofs ,documentations;
備注：上述證件、證明、資料，除稅務(wù)登記證件應(yīng)提供正副本原件外，其他證件、證明、資料，納稅人應(yīng)提供原件一份和復(fù)印件二份，經(jīng)主管稅務(wù)機關(guān)審核無誤后，其他證件、證明、資料的原件退還納稅人(除需留存原件外)，復(fù)印件留存主管稅務(wù)機關(guān)和稅務(wù)登記受理處歸檔。
Note：Except the tax registration certificate should offer the original and counterpart, all certificates, proofs, documentations above, taxpayers should offer one original copy and two duplicate copies to the administration in charge, after the administration verify without mistakes, the original copies will return to taxpayers ( except those which should be keep with original copies), duplicates will keep in the archives.
